By purchasing, downloading, installing, or using PropShield ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.
These Terms constitute a legally binding agreement between you ("User", "you") and the individual operator of PropShield ("we", "us", "our"), accessible at mypropshield.io.
We reserve the right to update these Terms at any time. Continued use of the Software after changes are posted constitutes acceptance of the updated Terms.
You must be at least 18 years old (or the age of majority where you live, if higher) to purchase or use PropShield.
PropShield is a software add-on for the NinjaTrader 8 trading platform. It is designed to help proprietary traders monitor funded trading accounts, track risk parameters, enforce account rules, and manage payout eligibility across multiple prop trading firms.
PropShield requires a valid, active NinjaTrader 8 installation to function. We are not affiliated with, endorsed by, or officially supported by NinjaTrader LLC or any prop trading firm referenced within the Software.
Prop firm rules, account requirements, and payout policies displayed within PropShield are maintained on a best-effort basis. Always verify current rules directly with your prop firm. We are not liable for rule changes made by prop firms that have not yet been reflected in the Software.
PropShield is sold as a subscription with the following plans:
All prices are in USD. Taxes may be added at checkout depending on your location and are handled by our payment processor, Whop.
Subscriptions renew automatically at the end of each billing period unless cancelled. You will be charged on the same date each month or year from the date of your initial purchase.
You will receive a receipt from Whop (our payment processor) after each successful charge. For billing questions, contact us at support@mypropshield.io.
To cancel, manage your subscription through your Whop account at whop.com/propshield, or contact us at support@mypropshield.io.
PropShield validates your subscription status periodically. If the Software cannot reach our license servers, it will continue to function for up to 24 hours before requiring reconnection to validate your active subscription.
Because PropShield is a digital software product that is immediately accessible upon purchase, all charges are non-refundable. You may cancel at any time to prevent future charges, but no refunds will be issued for the current or prior billing periods.
If you experience a technical issue preventing the Software from functioning as described, please contact us at support@mypropshield.io and we will work to resolve the issue promptly.
In cases of duplicate charges or billing errors by our payment processor, please contact us and we will investigate and correct any verified errors.
Subject to your active subscription and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use PropShield on your personal devices solely to manage your own trading accounts. You may not use it to provide services to others.

All intellectual property rights in PropShield, including but not limited to the source code, design, logic, documentation, and trademarks, are and remain the exclusive property of the operator. These Terms do not grant you any ownership rights in the Software.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
Trading futures and other financial instruments involves substantial risk of loss. You are solely responsible for all trading decisions and any resulting gains or losses.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by law.

Apart from the optional AI Analysis summary, all trading data processed by PropShield remains entirely local on your machine.
Payments are processed by Whop (whop.com). Whop handles all payment data in accordance with their privacy policy and applicable compliance standards. We do not store your payment card information.
We retain your email address and subscription records for as long as your account is active and as required for legal and billing purposes. To request deletion of your data, contact us at support@mypropshield.io.

We reserve the right to suspend or terminate your license and access to PropShield at our sole discretion, without notice, if you:
Upon termination for cause, no refund will be issued for any remaining subscription period.
You may terminate your use of the Software at any time by cancelling your subscription and uninstalling the Software.
Provisions of these Terms that by their nature should survive termination will remain in effect, including but not limited to intellectual property rights, disclaimers, and limitations of liability.
These Terms and any dispute arising out of or relating to them or to the Software are governed by the Federal Arbitration Act and, to the extent not preempted, the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-law rules.
Before starting any claim, you agree to first contact us at support@mypropshield.io with a description of the issue and give us at least 30 days to try to resolve it informally. We agree to do the same before starting any claim against you.
If a dispute is not resolved informally, you and we agree that it will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, before a single arbitrator. The arbitration will take place in the Commonwealth of Massachusetts or, at either party's request, by video conference or written submissions. Payment of filing, administration and arbitrator fees will be governed by the AAA Consumer Arbitration Rules. The arbitrator may award the same individual relief a court could award, and judgment on the award may be entered in any court with jurisdiction.
You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate the claims of more than one person or preside over any class or representative proceeding.
Either party may bring an individual claim in small-claims court in Massachusetts or in the county where you live, if the claim qualifies. Either party may also seek an injunction or other equitable relief in a court of competent jurisdiction to stop actual or threatened infringement, misappropriation or unauthorized use, copying, sharing or reverse engineering of intellectual property, including the Software.
You may opt out of this arbitration agreement by emailing support@mypropshield.io within 30 days of your first purchase, with the subject line "Arbitration Opt-Out" and your name and the email used for your purchase. If you opt out, disputes will be resolved in the state or federal courts located in the Commonwealth of Massachusetts, and you consent to the jurisdiction of those courts.
If the class action waiver is found unenforceable for a particular claim, that claim will proceed in court (not arbitration) and the rest of this section will still apply to all other claims. If any other part of this section is found unenforceable, the rest will remain in effect.
